Job Description: General Counsel

Location: Remote | Travel primarily for legal matters, with additional travel as needed

This role offers the opportunity to provide comprehensive legal oversight across a diverse portfolio of companies, navigating complex legal matters while also contributing strategically to various business operations.

The Role
Human Agency is seeking an experienced and highly capable General Counsel to manage the majority of the company’s legal needs across multiple jurisdictions, with a focus on legal matters governed by Delaware law and to a lesser degree New York, Massachusetts, and Missouri law. The General Counsel will provide legal advice across various states and business operations. This individual will play a key role in mitigating legal risks, resolving disputes, and providing strategic legal guidance to senior leadership.

The role is fully remote, with travel primarily required for legal matters that necessitate in-person appearances, but may also include business-related travel. The General Counsel will work closely with the Founder, CEO, and senior leadership while collaborating with external counsel as needed for specialized legal expertise.

Key Responsibilities:

  • Comprehensive Legal Oversight: Serve as the principal legal advisor, managing legal matters across multiple jurisdictions, including Delaware, New York, Massachusetts, Missouri, and others as required.
  • Legal Strategy & Litigation: Develop and implement legal strategies for arbitration, litigation, mediation, injunctions, complaints, and other disputes. Oversee the drafting of legal documents, filing of complaints, negotiations, in court representation of the client, and ensuring compliance with applicable state laws.
  • Cost Mitigation: Handle the majority of legal work in-house, managing legal costs and minimizing the need for external counsel. Resources are available to consult with and engage subject matter experts as necessary.
  • Delaware Law Expertise: Although not exclusive, experience with Delaware law is important. The General Counsel will need to represent the company in these and other jurisdictional matters.
  • Cross-Functional Business Support: Beyond legal responsibilities, the General Counsel will have the opportunity to support broader business operations, including:
    • Human Resources: Advise on employment law, compliance, employee contracts, and internal HR policies.
    • Business Strategy & Operations: Provide strategic guidance on risk management, corporate structuring, business transactions, and compliance initiatives.
    • Compliance & Corporate Governance: Ensure the organization complies with relevant laws and regulations across multiple states and maintains strong corporate governance practices.
    • Contract Negotiation & Review: Oversee contract negotiations, drafting, and review to support business operations and growth.
  • Collaboration with External Counsel: Engage external law firms for highly specialized legal matters when necessary, ensuring efficient use of external resources.
  • Risk Management: Proactively identify and address legal risks, and implement policies and procedures to protect the organization and support its growth.

Your Background + Experience + Traits:
Required:

  • Experience: 4–8+ years of experience in commercial litigation, transactional law, and corporate governance, with substantial experience in legal matters governed by Delaware, New York, Massachusetts, and/or Missouri law.
  • Multi-Jurisdictional Expertise: Demonstrated ability to handle legal matters across multiple jurisdictions, particularly in Delaware, New York, Massachusetts, and Missouri.
  • Independent Management: Proven ability to independently manage a wide range of legal matters, including litigation, arbitration, business transactions, and compliance.
  • Adaptability: Comfortable working in a fast-paced, dynamic environment and capable of managing shifting priorities across various business areas.
  • Client Service Excellence: Strong communication and interpersonal skills, with the ability to build relationships and work collaboratively across various teams and external stakeholders.
  • Problem-Solving & Initiative: Demonstrated ability to proactively address legal risks, resolve complex legal challenges, and provide strategic business guidance.

Work Environment:

  • Remote Role: This is a fully remote position, with travel primarily for legal matters, including court appearances or critical meetings. Occasional travel for business-related needs may also be required.
  • Flexibility & Autonomy: You will have significant autonomy in this role, responsible for overseeing the company’s legal strategy and advising senior leadership across various business areas.

Compensation:

  • Base Salary: $180,000 – $300,000 per year, based on experience and qualifications.
  • Performance-Based Incentives: Outcome-based incentives tied to successful legal outcomes and overall company performance, with the potential for additional compensation.
